This Memorandum of Understanding is drawn up in two languages (English and Chinese) and is used to define the most important commercial relationships between the Parties (Manufacturer and Distributor) before signing a Distribution Agreement in China. It is also used to assess the interest of a Chinese distributor and to reflect the progress which has been made during the negotiation.
The document is drawn up from the standpoint of the foreign company which is going to contract a distributor in China. It is not binding, except with regard to the question of confidentiality in negotiations.
